Client agrees to:

• Provide accurate and complete information when creating or accessing accounts


• Maintain the confidentiality of login credentials


• Restrict account access to authorized personnel only


• Promptly notify Alaire Marketing LLC of any unauthorized access or security breach

Client is fully responsible for all activity conducted under their account, including actions taken by employees, contractors, or representatives.

Alaire Marketing LLC is not responsible for:

• Client misuse of systems


• Changes made by Client or third parties within the system


• Security breaches resulting from Client negligence


• Data loss caused by Client actions or external integrations

We reserve the right to suspend or restrict access if misuse, abuse, or non-payment occurs.

3. Client Content and Responsibilities

If you submit, upload, or provide materials (such as logos, copy, images, or campaign data) for use in connection with our Services (“Client Content”), you agree that:

- You own or have the necessary rights to provide the Client Content

- The content does not infringe, misappropriate, or violate any third-party rights

- The content does not promote illegal activities, violence, or discrimination

- By providing Client Content, you grant Alaire Marketing a non-exclusive, royalty-free license to use, reproduce, display, and modify such content solely as necessary to provide the Services.

4. Payments and Subscriptions

Certain Services require payment of fees as outlined in individual service agreements or invoices.

• Fees may include one-time setup charges and recurring monthly management fees.


• Recurring services may auto-renew unless terminated in accordance with the applicable service agreement.


• Payments are non-refundable once services have commenced or the applicable billing cycle has begun.


• Client is responsible for any applicable payment processing fees if not included in stated pricing.

Failure to make timely payment may result in suspension or termination of Services.

5. Intellectual Property

All materials, software, features, and content provided by Alaire Marketing — including text, graphics, logos, code, and proprietary tools — are the property of Alaire Marketing or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written consent.

6. Third-Party Services

Our Services may integrate with or link to third-party platforms, tools, or websites. We are not responsible for the availability, content, or practices of those third parties. Your use of them is at your own risk.

7. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind. Neither we nor any third parties make any representations or warranties regarding the Services. Specifically, we do not guarantee:

Alaire Marketing LLC shall not be liable for any business losses, revenue loss, advertising loss, operational failures, staffing decisions, sales performance, or performance outcomes of any kind.

Client acknowledges that Alaire Marketing LLC is delivering system infrastructure, automation deployment, and management services only. All business decisions, pricing, staffing, sales execution, and fulfillment remain the sole responsibility of Client.

To the fullest extent permitted by law, Alaire Marketing LLC shall not be liable for indirect, incidental, special, consequential, or lost-profit damages arising from use of the system or services.

9. Modifications to These Terms

We may update or modify these Terms at any time. Updates will be posted on this page with the “Last updated” date. Continued use of our Services after changes are posted constitutes your acceptance of the revised Terms.
